Board Discussion

Discussions at the board of directors are designed to ensure the following: 

  • All directors participate fully. 
  • Minority or dissenting views are respected and reflected in the discussion of issues. 
  • Different perspectives on issues are recognized and considered. 
  • The potential impact of proposed actions is considered before decisions being taken.

The chair is expected to serve the board by facilitating this kind of dialogue and prompting the board if some of these aspects are being overlooked in a particular discussion. 

All directors are expected to be responsible for the quality of the board’s discussions, provide support to the chair during the meetings, and make any recommendations for improvement for the board’s consideration.

Decisions are made based on a majority vote on a formal motion except as otherwise provided in the bylaws. After a decision has been made, each director is expected to respect and support the decision.
